Company Registration in Iraq
End-to-end support for establishing a legal commercial presence in Iraq — Federal Iraq and the Kurdistan Region — structured correctly from the start.
More complex than it appears — and it matters to get it right
Registering a company in Iraq involves navigating a regulatory environment that varies materially depending on your sector, your chosen legal structure, and which jurisdiction you are operating in. What is straightforward for one industry can require multiple ministry approvals in another. What works in Baghdad may require a separate process entirely in Erbil.
Resolute Global Consultancy manages company registration end-to-end on behalf of our clients. We advise on the correct structure before a single document is filed, manage all dealings with the Commercial Registry, the National Investment Commission, and relevant sector regulators, and ensure you are operationally ready — not just legally registered — by the time the process concludes.
We do not hand you a checklist and leave you to work through it. We handle the process. You focus on your business.
Five Routes to a Legal Presence in Iraq
The right structure depends on your sector, ownership preferences, planned operational scope, and long-term objectives. We advise on the optimal route before any filing begins.
Limited Liability Company (LLC)
The most widely used structure for foreign companies entering Iraq. Requires a minimum 51% Iraqi ownership in most sectors, with the foreign partner holding up to 49%.
- Minimum 2 shareholders required
- 51% Iraqi / 49% foreign split (standard)
- Full trading and contracting rights
- Registered with the Commercial Registry
- 100% foreign ownership available via NIC licence in qualifying sectors
Branch Office
An extension of the foreign parent company — not a separate legal entity. Allows the parent to conduct business directly in Iraq without establishing a locally owned company.
- Parent company retains full ownership
- Registered through the Commercial Registry
- Full commercial activity permitted
- Parent is legally liable for the branch
- Requires Ministry of Trade approval
Representative Office
A limited-purpose presence for market research, liaison, and promotion only. Cannot conduct commercial transactions or generate revenue directly in Iraq.
- Suitable for market-entry reconnaissance
- Cannot sign contracts or generate revenue
- Lower administrative burden
- Good transitional structure before full establishment
- Annual renewal required
NIC Investment Licence
A licence issued by the National Investment Commission under Investment Law No. 13 of 2006, enabling 100% foreign ownership and significant tax exemptions in qualifying sectors.
- 100% foreign ownership permitted
- Up to 10-year tax holiday
- Protection against nationalisation
- Right to repatriate profits freely
- Sector and project eligibility criteria apply
Joint Venture
A contractually or entity-based partnership with an Iraqi partner, combining local knowledge, networks, and operational presence with the foreign partner’s expertise and capital.
- Flexible ownership and profit-sharing arrangements
- Local partner provides market access and relationships
- Can be structured as an LLC or contractual JV
- Partner due diligence is essential — we conduct this
- Used extensively in construction and energy sectors

How We Manage Your Registration
A structured process with clear ownership at every stage — we manage all government-facing elements so you don’t have to.
Initial Consultation & Structure Assessment
We begin with a structured consultation to understand your sector, operational plans, ownership preferences, and objectives. Based on this, we recommend the optimal legal structure and jurisdiction — with a clear rationale for the recommendation and an honest assessment of the alternatives.
Document Preparation & Verification
We prepare all required documents — constitutional documents, shareholder agreements, powers of attorney, and any sector-specific requirements — and ensure they meet the precise standards of the Iraqi authorities before submission. Documents requiring notarisation or apostille are handled or coordinated by us.
Commercial Registry Filing
We file directly with the Iraqi Commercial Registry (or the relevant Kurdistan Region equivalent) and manage all interactions with the registry on your behalf. We track progress, address any queries raised by the registry, and ensure the application moves forward efficiently.
Sector Licensing & Additional Approvals
Where your sector requires approval from specific ministries or regulatory bodies — energy, healthcare, telecommunications, financial services — we manage the licence application process in parallel with the commercial registration to minimise overall timeline.
Tax Registration & Operational Setup
Following commercial registration, we coordinate tax registration with the relevant Iraqi tax authority, assist with bank account establishment, and support you through any remaining operational requirements so your entity is not merely registered — but ready to operate.
Handover & Ongoing Compliance Support
We provide a complete handover of all registration documents, certificates, and records. We also advise on ongoing compliance obligations — annual filings, licence renewals, changes to directors or shareholders — and remain available for any questions that arise as you begin operations.

Two Distinct Regulatory Environments
Experience in one does not guarantee competence in the other. We operate across both jurisdictions and can advise on which is appropriate for your business objectives.
Federal Iraq
The primary commercial and legal jurisdiction, governed from Baghdad. The larger market with access to the full Iraqi economy — oil and gas, construction, healthcare, retail, logistics, and financial services.
The registration process is managed through the Iraqi Commercial Registry and, where applicable, the National Investment Commission. Sector approvals involve the relevant federal ministries.
- Companies Law No. 21 of 1997 (as amended)
- Investment Law No. 13 of 2006
- Ministry of Trade — Commercial Registry
- National Investment Commission (NIC)
- Federal tax authority and social insurance
- Sector ministries (Oil, Health, Telecom etc.)
Kurdistan Region of Iraq (KRI)
A semi-autonomous region with its own investment authority and commercial registry. Generally regarded as offering a more streamlined registration process and a more accessible business environment for international companies.
Many companies choose to register in the KRI first, then expand to Federal Iraq. The KRI also has its own investment incentive framework that in some respects exceeds what the NIC offers.
- Kurdistan Region Investment Law No. 4 of 2006
- Kurdistan Board of Investment (KBI)
- Erbil, Sulaymaniyah, and Dohuk registries
- Separate KRI tax administration
- KRI-specific sector licensing (energy, healthcare)
- More accessible for international SMEs
We know how this actually works — not just how it should work
The Iraqi regulatory environment is well-documented on paper. What is less well-documented is what actually happens when you file — which registries respond promptly, which sector approvals require additional persuasion, where the common bottlenecks occur, and how to navigate them.
Resolute Global has direct operational experience in both Federal Iraq and the Kurdistan Region. Our team has worked inside this environment — not studied it from outside. That means timelines we give you are realistic, problems we anticipate actually occur, and the relationships we have with government bodies translate into faster resolutions when they do.
- Direct relationships with Commercial Registry officials in Baghdad and Erbil
- Established working relationships with the NIC and KBI
- Bilingual team — no intermediaries, no translation delays
- Fixed-fee engagements agreed in advance — no billing surprises
- Senior professionals handling your matter directly
- UK-based management with Iraq-based operational capacity
